Terms of Service

You must be at least 18 years old and legally able to enter into contracts to use Synchronex. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@synchronex.ai if you suspect unauthorized access.

Synchronex offers free and paid subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. Your plan and current pricing are displayed in Settings → Billing.

Prices may change with 30 days’ written notice. Continued use after the notice period constitutes acceptance of the new price. All charges are in USD. We do not offer prorated refunds for partial billing periods except where required by applicable law.

Bring Your Own Key (BYOK) plans allow you to connect your own AI provider credentials. Usage billed directly by those providers is governed by their separate terms and is not Desler Digital Enterprises LLC’s responsibility.

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date. We do not charge cancellation fees.

We may suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law. In the event of termination for cause, no refund will be issued for the unused portion of a billing period.

Synchronex uses large language models and other AI systems to help you produce content, analysis, decisions, and operating outputs. You understand and agree that:

• AI-generated content may be inaccurate, incomplete, or outdated. You are responsible for reviewing all outputs before relying on or publishing them.
• We do not guarantee that AI outputs will be suitable for your specific legal, medical, financial, or professional use case. Consult qualified professionals where required.
• You retain ownership of content you submit to Synchronex. AI outputs generated using your inputs are yours subject to applicable AI provider terms.
• We do not use your content to train our models or sell your data to third parties. See our Privacy Policy for details.

Your use of Synchronex is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in immediate account suspension or termination without refund.

The Synchronex name, logo, product design, and underlying software are the property of Desler Digital Enterprises LLC. The “Synchronex” trademark is the subject of USPTO Serial 99745685, filed April 5, 2026. You may not use our brand assets without written permission.

We grant you a limited, non-exclusive, non-transferable license to use the Synchronex platform for its intended purpose during your active subscription. This license does not include the right to sublicense, reverse engineer, resell, or white-label the platform.

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, upstream provider outages, and force majeure events may affect service. Current system status is available at synchronex.ai/status.

To the maximum extent permitted by law, Desler Digital Enterprises LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of Synchronex. Our total liability for direct damages shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Desler Digital Enterprises LLC and its officers from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the service, your content, or your violation of these Terms.

These Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in Honolulu, Hawaii, under JAMS rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms at any time. Material changes will be communicated by email or by a prominent notice inside the product at least 14 days before they take effect. Your continued use after that date constitutes acceptance. The most current version is always published at synchronex.ai/legal/terms.
